1. Agreement to Terms

By accessing or using NeuroCue ("Service"), operated by NeuroCue Pty Ltd ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including parents, caregivers, healthcare providers, and NDIS participants.

2. Service Description

NeuroCue provides:

• Visual scheduling and routine management tools for neurodiverse children
• Progress tracking and reporting features
• NDIS-compliant documentation and reporting
• Collaboration tools for families and healthcare providers
• Educational resources and support materials

3. Account Registration

3.1 Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent that you are the parent, legal guardian, or authorized caregiver of any children whose information you provide.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring the accuracy of account information

4. Subscription and Payment

4.1 Free Trial

New users receive a 14-day free trial with full access to all features. No payment information is required to start your trial. The trial automatically ends after 14 days unless you choose to subscribe.

4.2 Subscription Plans

• Monthly and annual subscription options available
• NDIS-funded plans with direct billing options
• Provider plans for managing multiple clients
• Educational institution pricing available

4.3 Billing

Subscriptions automatically renew unless cancelled. You authorize us to charge your payment method on a recurring basis. All fees are in Australian dollars (AUD) and include GST where applicable.

4.4 Refunds

Annual subscriptions may be eligible for pro-rata refunds within 30 days of purchase. Monthly subscriptions are non-refundable but can be cancelled at any time to prevent future charges.

5. User Conduct and Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose
• Share account credentials with unauthorized users
• Upload malicious code or interfere with the Service
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to harm or exploit children
• Misrepresent your identity or affiliation
• Violate the privacy or rights of others
• Use automated systems to access the Service without permission

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of content you upload (photos, schedules, etc.). By uploading content, you grant us a license to use, store, and display it solely for providing the Service to you.

6.2 Our Content

The Service, including its design, features, and content (excluding user content), is owned by NeuroCue and protected by intellectual property laws. You may not copy, modify, or distribute our content without written permission.

7. Privacy and Data Protection

Your use of the Service is governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. NDIS Compliance

For NDIS participants and providers:

• We comply with NDIS Quality and Safeguards Commission requirements
• Reports generated are suitable for NDIS plan reviews
• We maintain appropriate records as required by NDIS
• Users are responsible for ensuring appropriate NDIS funding approval

9. Disclaimers

9.1 Medical Disclaimer

NeuroCue is not a medical device and does not provide medical advice. The Service is designed to support daily routines and should not replace professional medical care. Always consult qualified healthcare providers for medical decisions.

9.2 Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or technical issues.

10. Limitation of Liability

To the fullest extent permitted by law:

• The Service is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the past 12 months
• We are not responsible for third-party content or services

11. Indemnification

You agree to indemnify and hold harmless NeuroCue, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for:

• Breach of these Terms
• Conduct that harms or could harm the Service or other users
• Non-payment of fees
• At our sole discretion for any reason

Upon termination, your right to use the Service ceases immediately. You may request your data within 30 days of termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of South Australia, Australia. Any disputes shall be resolved through:

1. Good faith negotiation
2. Mediation through the Australian Disputes Centre
3. If unresolved, the courts of South Australia

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service at least 30 days before taking effect. Continued use after changes constitutes acceptance of the new Terms.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and NeuroCue
• Severability: If any provision is invalid, the remaining provisions continue in effect
• Waiver: No waiver of any term shall be deemed a further waiver
• Assignment: You may not assign these Terms without our written consent
